STRATEGIC INVESTMENT BY RZPX PRIVATE LIMITED (“RAZORPAY”) IN HOSTBOOKS LIMITED (HB)

Despite the chilling combination of macroeconomic factors like falling tech valuations, supply chain bottlenecks, soaring interest rates , rising crude oil prices and the Russia-Ukraine conflict, which have spooked global markets with the effects showing in the recent funding challenges faced by the Indian startup ecosystem, Software-as-a-Service (SaaS) is clearly holding its ground as a proven model as evidenced by this recently concluded deal by Dua Associates.

Dua Associates represented and assisted HostBooks (HB) , engaged in the business of providing SaaS based integrated business solution and services, in its transaction involving strategic investment by Razorpay, an Indian financial technology unicorn, via upfront investment in the primary capital of INR 200 million to acquire 16.7% stake in HostBooks and to make additional investment upto INR 150 million each year for the next 3 years, based on achievement of milestones by the company.

Dua Associates team was lead by Partner Siddhartha Kumar and included Sr. Tax and Compliance Advisor Sunil Malik,  Partner Punish Arora, Principal Associates Chandra Shekhar Mishra and Simran Singh and Associate Megha Chauhan Sood represented the Founders of HostBooks and assisted them in the successful completion of the deal with Razorpay.
